Terms and Conditions of Sale

These terms apply to every Pro or Studio subscription taken out on cgfield.com. They are published here so that they can be read before any commitment, and the version in force on the day of subscription is the one that binds you.

1. Purpose

These terms govern the purchase by a business customer of a paid subscription to the CGfield software suite. The paid offer is reserved for professionals — natural or legal persons acting in the course of their business — and the customer declares this when subscribing. They supplement the terms of use, which remain applicable to the use of the launcher and the applications; in the event of a contradiction on a point relating to the subscription, these terms prevail.

2. Seller

3. Plans and prices

The plans, their contents and their prices are those displayed on the Pricing page at the time of subscription. Two subscription formulas are offered: monthly or annual, the year being billed as ten months. The Studio plan is billed per seat, with a minimum of five seats; the number of seats is chosen by the customer at the time of subscription.

Prices are stated in euros. They are quoted exclusive of VAT, with French VAT added at the applicable rate. For a business customer established in another Member State of the European Union and holding a valid intra-Community VAT number, the tax is reverse-charged to the recipient. The exact amount appears on the payment page before validation, as well as on the invoice.

The seller may change its prices at any time. The price applicable to an ongoing subscription remains the price of the subscription until the end of the period paid for. Any change takes effect at the following renewal date and is notified by email at least thirty days in advance; the customer may then terminate free of charge before that date.

4. Subscription

Subscribing requires a CGfield account. The customer chooses a plan, a billing period and, where applicable, a number of seats, accepts these terms, and is then redirected to the payment page of our provider. The order is firm as soon as payment has actually been collected; a confirmation is sent by email.

The customer warrants the accuracy of the information provided. An order may be refused in the event of a previous payment dispute or of a breach of the terms of use.

5. Payment

Payment is made by bank card, through Stripe, a payment services provider. Card details are entered on a page hosted by Stripe: they never pass through the CGfield servers, which at no point have access to them. The corresponding processing is described in the privacy policy.

The subscription is automatically renewed at each renewal date, by charging the payment method on file, until termination.

6. Term and renewal

The subscription is entered into for the term chosen — one month or one year — and is tacitly renewed for an identical term, unless it is terminated before the renewal date.

The subscription renews automatically at each term until cancelled. The customer may stop the renewal at any time from the My account page, without reason and without charge. As the contract is concluded between professionals, the prior-notice obligations on renewal set out in the French Consumer Code do not apply.

7. Termination

The customer may cancel at any time, without reason and without charge, from the My account page. The cancellation function is permanently available from the personal area, by a path as simple as that of subscribing.

Cancellation takes effect at the end of the period already paid for: the customer keeps access until that date, with no further charge. No pro-rata refund is due for the period under way.

When the subscription ends, the account switches to the free Découverte plan. Files already produced remain the property of the customer and remain usable: they are written in the USD format, an open standard, and do not depend on any CGfield software to be read again.

8. Try before you buy

As the contract is concluded between professionals, the fourteen-day right of withdrawal provided for by the French Consumer Code does not apply.

The trial therefore comes before the purchase, and it costs nothing: the Découverte plan is free, with no time limit and no card required. It lets you use the three applications in the catalogue (Everything, Animated and AssetBrowser) and includes a single trial export for the whole life of the account, shared by the three applications, enough to evaluate the product on one of your own assets before paying anything. Beyond that, exporting requires a paid plan.

No charge is made until a paid subscription has been explicitly taken out. The subscription page states the amount and the date of the first charge before any validation.

9. Payment default

If a charge fails, access to the paid features is suspended after a reminder has remained without effect. The account is not deleted and switches to the free plan; the files produced remain the property of the customer. Access is restored as soon as the situation is regularised.

10. Provision of the service

The applications run on the customer’s computer; conversions are entirely local. The online service is limited to the account, the issuing of licences and the distribution of packages. It is provided as is, with no guarantee of freedom from interruption; maintenance operations may be necessary.

A signed licence is issued to the customer and remains valid for fourteen days offline: an interruption of the online service does not immediately deprive the customer of their software.

11. Legal guarantees

The business customer benefits from the warranty against hidden defects (articles 1641 et seq. of the French Civil Code) and from the obligation to deliver conforming goods (article 1604 of the French Civil Code). The statutory guarantees of the French Consumer Code, reserved for consumers, do not apply to a contract concluded between professionals.

12. Liability

The seller may not be held liable for indirect damage, in particular loss of data, loss of business or commercial harm. It is for the customer to keep backups of their work. No provision of these terms has the effect of limiting the seller’s liability in the event of gross negligence, wilful misconduct or personal injury.

13. Complaints

Any complaint may be sent to contact@cgfield.com. The seller undertakes to reply within a reasonable time.

As the contract is concluded between professionals, recourse to a consumer mediator does not apply. The parties shall endeavour to settle any dispute amicably before any legal action.

Failing an amicable agreement, the dispute is brought before the court designated in article 15.

14. Personal data

The processing of the customer’s data, including billing data and its retention period, is described in the privacy policy.

15. Governing law

These terms are governed by French law. As the contract is concluded between professionals, any dispute relating to its formation, interpretation or performance falls within the exclusive jurisdiction of the courts of the seller’s registered office, including where there are several defendants or a third-party claim.
